Terms of Service

These terms govern your use of this website and any services provided by Jnena ("we", "us"), a software company based in San Julians, Malta. By using the site or engaging us for services, you agree to these terms.
1. Services we provide
Jnena offers product discovery, mobile application development, AI integration, and ongoing maintenance services. Each engagement is governed by a separate written agreement (statement of work, proposal, or contract) which prevails over these general terms in case of conflict.
2. Estimates and contracts
Estimates we provide are based on the scope and assumptions described at the time. Material changes to scope may change timelines and fees. We will tell you in writing before any such change takes effect.
3. Fees and payment
Fees, milestones, and payment terms are agreed in the engagement contract. Unless otherwise agreed, invoices are payable within 14 days of issue. Late payment may pause work and incur statutory interest under Maltese law.
4. Intellectual property
On full payment, the deliverables we create specifically for you are yours, including source code and design assets. We retain ownership of our pre-existing tools, libraries, and frameworks, and grant you a perpetual licence to use them as part of your product.
5. Confidentiality
We treat information you share with us as confidential and use it only to deliver the agreed services. We are happy to sign a separate non-disclosure agreement on request.
6. Warranty and liability
We provide our services with reasonable skill and care. To the extent permitted by law, we are not liable for indirect, incidental, or consequential losses, and our total liability is limited to the fees paid to us in the three months preceding the event giving rise to the claim.
7. Termination
Either party may terminate an engagement on written notice as described in the relevant contract. You remain liable for work completed and approved prior to termination.
8. Governing law
These terms are governed by the laws of Malta. Any disputes will be subject to the exclusive jurisdiction of the courts of Malta.
